Business Account Terms

1. About these terms

These Business Account Terms apply to every business that applies for or holds a Smart Supply business account, and to every purchase made through a business account. They add to our Terms of Service, Refund Policy, Shipping Policy and Privacy Policy. If these Business Account Terms conflict with the Terms of Service on a business-account matter, these Business Account Terms control.

By checking the acceptance box on the Business Account Application, the applicant agrees to these Business Account Terms and the Terms of Service on behalf of the business, and confirms that the person applying is authorized to do so.

2. Business verification

Access to Smart Supply business pricing and restricted business-account pages is available only to approved business customers. Every applicant must provide accurate company information and at least one current document reasonably demonstrating that the applicant operates a legitimate business, such as a business license, formation or registration document, seller's permit, or other government-issued business record acceptable to Smart Supply.

Submitting an application does not grant business access. Smart Supply manually reviews each application and activates business access only after approval.

3. Business-only content

Business-only pages, business pricing, business purchasing tools and other restricted business content are available only to customers who are signed in through an approved Smart Supply business account. Business documents must be reviewed and the account approved before access is granted.

4. Standard business pricing

Approved Smart Supply business customers receive business pricing on in-stock products available through the Smart Supply business catalog, unless a special volume quote applies. Business pricing is shown when the approved customer is signed in to its business account.

Business pricing is based on the current selling price shown on the website, including a current sale price. Coupon codes, promotional discounts, loyalty offers and other account-level discounts do not stack with business pricing unless Smart Supply expressly states otherwise.

Smart Supply may change or end standard business pricing for future orders at any time. The price shown at checkout when an order is placed applies to that order.

5. Volume and special pricing

Customers requesting larger quantities may contact support@smartsupplyusa.com for a special written quote. A special volume quote replaces standard business pricing for the products and quantities covered by that quote and is not combined with additional discounts unless the quote expressly states otherwise. Quotes are subject to inventory availability and are valid only through the expiration date stated in the quote. Shipping, freight, taxes and other charges are included only if expressly stated in the quote.

6. Payment terms

Business orders are payable at checkout unless Smart Supply expressly approves different payment terms in writing. A purchase order submitted by a customer does not by itself create credit, Net terms or different contractual terms. Any conflicting or additional terms printed on a customer's purchase order are rejected unless Smart Supply expressly accepts them in writing.

7. Shipping and delivery

Shipping for business orders is calculated at checkout. Retail free-shipping offers do not apply to business-account orders unless Smart Supply expressly states otherwise. Smart Supply currently ships only to addresses within the United States.

For freight, pallet or specially quoted orders, the delivery, inspection, claim, title and risk-of-loss terms stated in the written quote, bill of lading or order agreement apply.

8. Resale and export

Approved business customers may purchase products for use in their business or for lawful resale in the United States, subject to applicable law and any product-specific restriction clearly disclosed before purchase.

Smart Supply does not arrange international export shipments. A business customer that later exports or resells a product outside the United States is solely responsible for complying with applicable export-control, sanctions, customs, product and destination-country requirements, unless a product-specific restriction expressly prohibits such resale or export.

9. Sales tax exemption

Approval as a Smart Supply business customer does not automatically make purchases tax exempt. To receive tax-exempt treatment, the business must separately submit a valid resale certificate or other applicable exemption certificate, including any permit or registration information required by the applicable state. For purchases shipped to California, a California seller's permit by itself is not a resale certificate. Smart Supply must review and approve the documentation before tax-exempt status is activated. For purchases shipped outside California, Smart Supply accepts only documentation acceptable for the applicable state.

Tax exemption applies only to purchases that qualify for the exemption under applicable law. A customer purchasing property for its own use rather than for resale must not use a resale exemption for that purchase. If an item is being purchased for the customer's own use, consumption, demonstration beyond what applicable law permits, or another taxable purpose, the customer must notify Smart Supply before placing the order so the appropriate tax can be charged.

The customer must promptly notify Smart Supply if an exemption certificate expires, is revoked or becomes inaccurate. If a certificate or exemption claim provided by the customer is invalid, expired, revoked, inaccurate or improperly used, Smart Supply may charge the applicable tax, and the customer is responsible, to the extent permitted by law, for taxes, interest, penalties and other amounts resulting from the customer's invalid certificate, inaccurate information or improper use of the exemption.

10. Authorized users and account security

The business is responsible for all orders placed under its business account, including orders placed by people it allows to use the account. The business must keep sign-in access secure and tell Smart Supply promptly if someone should no longer have access.

11. Returns

Business orders follow our Refund Policy unless a written quote or order agreement states otherwise for that order.

12. Re-verification, suspension and closing an account

Smart Supply may periodically request updated business or tax documentation. Failure to provide requested current documentation may result in suspension of business-only access, business pricing or tax-exempt status until verification is completed.

Business access and tax-exempt status are separate. A business may remain an approved business customer while its tax-exempt status is paused until current exemption documentation is received.

Smart Supply may suspend or close a business account, or remove business pricing, if information provided is inaccurate, if the account is used in a way these terms or the Terms of Service do not allow, or if required by law. A business may close its account at any time by emailing support@smartsupplyusa.com.

13. Changes to these terms

We may update these Business Account Terms by posting a new version on this page with a new "Last updated" date. Changes apply to orders placed after the update. If a change is material, we will also notify business customers by email.
